MAYFAIR PARK NEIGHBORHOOD ASSOCIATION BY-LAWS

ARTICLE I: Name

The name of the organization shall be Mayfair Park Neighborhood Association (the Association).

ARTICLE II: Objectives

1. To provide a forum for presentation, discussion and appropriate action on matters of

importance to the neighborhood while striving to create a better place to live.

2. To provide a source of information to all members of the Association.

3. To act as liaison with and/or advocate to other neighborhood groups, the City and County of

Denver or its representatives and other community organizations.

4. To provide cultural, recreational, education and civic programs for all members of this

community and to promote civic responsibility.

ARTICLE III: Membership

1. The following description will establish the area to be incorporated in the Association to be

known as the Mayfair Park Neighborhood Association:

a. The boundaries encompass the following: the southwest corner of the area shall be East

First Avenue and Monaco Parkway. From this point the boundary will continue on the east

side of Monaco Parkway north to East Sixth Avenue Parkway; east on the south side of East

Sixth Avenue Parkway to Quebec Street; south on the west side of Quebec Street to East

Fourth Avenue; west on the south side of east Fourth Avenue to Oneida Street; south on the

east side of Oneida Street to East First Avenue; and west on the north side of East First

Avenue to Monaco Parkway.

2. The following shall be classes of membership:

a. Regular Members: Any adult residing or owning property within the physical area created by

the boundaries established above shall be eligible for membership in the Association.

b. Associate Members: Any adult whose residence is outside the area included in the

“neighborhood" may become an associate member of the Association. Eligible persons

wishing to join the Association as an Associate Member shall make application in writing to

the Executive Committee.

3. Only Regular Members have the right to vote, hold office and serve as members of the

Executive Committee.

ARTICLE IV: Meetings of Membership

1. There shall be at least one regular membership meeting each calendar year. The time and place

of this meeting shall be determined by the Executive Committee.

2. Special meetings of the members shall be called at such time and place as may be determined by

the Executive Committee.

3. All meetings of members shall be called with at least two (2) weeks’ notice.

4. At least twelve (12) regular members present in person, inclusive of members of the Executive

Committee, shall constitute a quorum.

5. Upon petition of ten (10) regular members, not members of the Executive Committee, a meeting

may be called within the guidelines of the By-Laws.

ARTICLE V: Executive Committee

1. The President, Vice-President, Secretary, Treasurer, up to seven (7) Representatives-at-Large and

the immediate Past President (ex-officio) shall constitute the Executive Committee.

2. The Executive Committee shall:

a. Manage the affairs of the Association.

b. Plan, call and conduct meetings; notify members of meetings within the required time frame.

c. Manage the funds of the Association and prepare an annual budget, following their election.

Expenditures of $500 or more for any one item shall require a vote of the General

Membership.

d. Establish and appoint such committees as may be required.

e. Fill all vacancies among the officers and any Representatives-at-Large occasioned by death,

resignation or for other reasons. Such appointees will serve until the next election.

f. Any member of the Executive Committee who is absent from two (2) consecutive Executive

Committee meetings may be removed from office by a majority vote of the full Executive

Committee.

ARTICLE VI: Meetings of the Executive Committee

1. Meetings of the Executive Committee may be held at such times as are necessary to carry on the

business of the Association.

2. A majority of the Executive Committee shall constitute a quorum.

3. Meetings of the Executive Committee may be called by the President or Vice President, or the

Secretary shall call a meeting upon written request of three (3) members of the Executive

Committee.

4. Notification of any meeting of the Executive Committee shall be given at least three (3) days

before the meeting is scheduled.

ARTICLE VII: Election and Tenure of Officers and Executive Committee Representatives

1. Each year, Executive Committee officers shall be elected at a regular membership meeting.

Nominations for the offices of President, Vice President, Secretary and Treasurer may be made

from the floor.

2. Nominations for up to seven (7) Representatives-at-Large shall be made from the floor.

3. All officers will assume their offices upon election. Any Representatives-at-Large assume their

duties at the conclusion of the meeting. The outgoing President becomes an ex-officio member

of the Executive Committee for a period of one year at the conclusion of the meeting.

4. Tenure of officers and any Representatives-at-Large shall be for two (2) years. Officer terms shall

be staggered to provide continuity, with the terms for the President and Secretary ending in

even-numbered calendar years and the terms of the Vice President and Treasurer ending in odd-

numbered calendar years. To transition to these staggered terms, the terms for the President and

Secretary elected in 2025 shall end in 2026. All officers may be re-elected.

ARTICLE VIII: Duties of Officers

1. The President shall be the Chief Executive Officer of the Association, performing all duties

required by the By-Laws, or specified by the Executive Committee. Immediately upon leaving

office, the outgoing President will serve as an ex-officio member of the Executive Committee

for one year.

2. The Vice President shall assist the President, carrying out such duties as may be assigned by the

President, and in the absence of the President, shall assume and perform the duties of the

President.

3. The Secretary shall:

a. Prepare minutes of all Association meetings and keep other records.

b. Conduct necessary correspondence.

c. Prepare notices of membership meetings.

d. Conduct the annual election during the regular membership meeting.

4. The Treasurer shall:

a. Maintain membership and dues records.

b. Collect dues and other monies and deposit them in the bank approved by the Executive

Committee.

c. Issue checks for properly approved disbursements.

d. Keep accounting records and prepare regular reports of the financial condition of the

Association.

5. The Representatives-at-Large shall:

a. Serve as members of the Executive Committee, providing input on managing the affairs of

the Association.

b. Assist the officers in performing the duties of the Executive Committee described in Article

V, 2 above.

c. Serve as liaison between the general membership and the officers of the Association.

ARTICLE IX: Committees

Committees will be appointed and dissolved by the Executive Committee as needed.

ARTICLE X: Dues and Fees

Each member shall pay such annual dues as recommended by the Executive Committee and

approved by a simple majority vote of the regular members present.

ARTICLE XI: Severance of Membership

1. A member may resign by submitting a written resignation to the Secretary.

2. If the dues of any member remain unpaid thirty (30) days after their due date as determined by

the Executive Committee, his or her name shall be removed from membership after thirty (30)

days’ written notice.

ARTICLE XII: Rules of Order

The rules contained in Robert's Rules of Order shall govern the parliamentary procedure of all

meetings.

ARTICLE XIII: Amendments

1. By-Laws may be adopted or amended by a simple majority vote of regular members present at a

meeting of the membership.

2. Proposed amendments must be submitted in writing to the Executive Committee not less than

thirty (30) days prior to the date the vote is to be taken.

ARTICLE XIV: Voting Procedures

Votes at any meeting will only be accepted from those present in person. There will be no proxy

votes.

 Allow fall membership meeting to be held in September or October

 Add the immediate past President as an ex-officio member of the Executive Committee for a

period of one year.

October 20, 1992

 Change the name from 920 Neighborhood Association to Mayfair Park Neighborhood

Association.

October 18, 1994

 Increase from five to seven the number of Representatives-at-Large that are members of the

Executive Committee.

April 27, 2005

 Allow two regular membership meetings to be held in the Spring and the Fall.

 Require that expenditures of $500 or more for any one item shall require a vote of the General

Membership.

April 26, 2025

 Modify Association boundaries to exclude the southeast quadrant that is part of the Lowry

United Neighborhoods registered neighborhood association.

 Make meeting and quorum provisions consistent with Denver Revised Municipal Code

requirements for registered neighborhood organizations. Specifically, require at least one regular

membership meeting each calendar year (rather than one in the Spring and one in the Fall) and

establish a quorum of twelve Regular Members (rather than ten Regular Members exclusive of

the Executive Committee).

 Extend Executive Committee member terms from one year to two years, and stagger officer

terms so that two of the four officers are elected each year.

 Make several changes to reflect recent Association practices:

o Eliminate the requirement for the Executive Committee to include seven Representatives-at-

Large while maintaining an option for the Association to nominate and elect up to

seven Representatives-at-Large​ to serve on the Executive Committee.

o Eliminate the requirement for Regular Members to apply in writing to join the Association

while maintaining the requirement for Associate Members (who reside outside the

Association boundaries) to apply in writing.

o Eliminate references to specific forms of meeting notices.

o Eliminate provision concerning a Nominating Committee.

o Clarify the Secretary’s duty concerning the annual election process.
